Seller Agreement

You are an independent third party. Nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship, except that you appoint Fivemania as your limited payment collection agent solely to collect Buyer payments on your behalf. Payment received by Fivemania from a Buyer satisfies the Buyer's obligation to you, whether or not we have yet paid you out.

Sales contracts for your products are between you and the Buyer. We provide the platform, payment collection, file delivery, and marketplace policies under which those sales happen.

• You must be at least 18 years old and able to enter a binding contract
• You must provide accurate identity, contact, and payout information, and keep it current
• You must complete any identity verification (KYC) required by us or by our payment partners (for example Stripe) before receiving payouts
• Seller accounts are approved at our discretion, and we may decline or revoke selling privileges at any time for policy, risk, or legal reasons

For every product, file, image, and description you upload (your "Content"), you represent and warrant that:

• You own the Content or hold all rights needed to sell it and to grant the licenses in this Agreement
• The Content is not leaked, stolen, cracked, "nulled," or re-uploaded work of another creator, in whole or in part
• The Content contains no malware, backdoors, undisclosed remote kill switches, undisclosed telemetry, or obfuscated malicious code
• The Content does not use third-party intellectual property (including real-world brands, logos, vehicle designs, music, or code under incompatible licenses) without the necessary rights
• The Content and its sale comply with applicable law and do not violate the FiveM / Cfx.re Terms of Service or platform policies
• Listing information (features, previews, framework compatibility, dependencies, escrow/obfuscation status) is accurate and not misleading

Breach of these warranties is a material breach of this Agreement and may result in immediate removal, payout forfeiture to the extent permitted by law, account termination, and liability to us and to affected Buyers.

• Pricing: you set your product prices within any platform minimums/maximums shown in the seller dashboard
• Platform fee: we deduct a commission and/or fees from each sale at the rate disclosed to you at onboarding or in the seller dashboard at the time of sale. Fee changes apply prospectively after notice
• Payouts: paid through our payout partners (for example Stripe Connect) on the schedule shown in the dashboard, after completing verification. Processor fees and currency conversion may apply
• Holds & reserves: we may withhold or reserve amounts where reasonably needed for fraud risk, chargebacks, refunds, disputes, or legal compliance, and will release them when the risk resolves
• Negative balances: refunds, chargebacks, and penalties attributable to your sales may be deducted from future payouts or invoiced to you

The platform-wide Refund Policy binds you. Fivemania administers Buyer refund requests and may issue refunds on your behalf when the policy's conditions are met (for example a product that is genuinely broken and unfixed within 14 days). Refunded amounts, associated fees, and chargeback costs attributable to your products are your responsibility and will be deducted as described in Section 5.

You agree to cooperate promptly with support tickets, bug reports, and dispute investigations involving your products.

Where we or our payment partners are legally required to collect and remit transaction taxes (sales tax, VAT, GST) on marketplace sales, we or they will do so. You are responsible for all other taxes on your earnings, including income and self-employment taxes, and for providing any tax documentation we or our payment partners reasonably request (for example W-9 / W-8 forms). We may report your earnings to tax authorities where required by law.

• Respond to Buyer support issues routed to you within a reasonable time
• Fix products that are broken on a clean install of the framework they are listed for, or accept the refund consequences under the Refund Policy
• Keep compatibility and dependency information accurate as you publish updates
• Do not remotely disable, degrade, or kill-switch a product a Buyer has validly licensed, except for license enforcement consistent with the displayed license terms

We may review, scan, test, approve, reject, or remove any Content at any time. We may suspend listings or payouts during good-faith investigations of fraud, infringement, malware, or policy violations. We follow the IP & DMCA Policy for copyright complaints, including forwarding notices to you and terminating repeat infringers. Enforcement actions do not waive any other rights or remedies we may have.

This Agreement applies from your first listing until terminated. You may stop selling at any time by delisting your products and notifying support; we may terminate or suspend your selling privileges at any time for breach, risk, or legal reasons, and otherwise on reasonable notice. On termination: your listings come down, licenses already delivered to Buyers survive, refund/chargeback responsibility for past sales survives, and undisputed earned payouts are paid on the normal schedule after deducting amounts owed. Sections 3-7 and 10-13 survive termination.

You will indemnify and hold harmless Fivemania LLC and its members, managers, employees, and agents from any claim, damage, or expense (including reasonable attorneys' fees) arising from your Content, your sales, your breach of this Agreement, or your violation of law or third-party rights — including copyright claims by other creators relating to Content you uploaded.

The platform is provided "as is." We do not guarantee sales volumes, placement, uptime, or uninterrupted operation. To the maximum extent permitted by law, our total aggregate liability to you under this Agreement is limited to the platform fees we earned from your sales in the 3 months before the event giving rise to the claim. We are not liable for indirect or consequential damages or lost profits.

This Agreement is governed by the laws of the State of Montana, USA; disputes are handled as described in Section 17 of the Terms of Service. We may update this Agreement with at least 14 days' notice via the site, seller dashboard, email, or Discord; continuing to sell after the effective date constitutes acceptance.
